ARTICLE 1 – PREAMBLE

Attijariwafa Bank is a joint stock company with a Board of Directors, with a share capital of MAD2,151,408,390, registered in the Trade Register under No.333, having its head office located at 2, Boulevard Moulay Youssef, Casablanca 20000, whose legal representative is Mr. Mohamed EL KETTANI, Chairman and Chief Executive Officer.

Attijariwafa Bank is a credit institution incorporated and existing under the Moroccan laws, licensed pursuant to the decree of the Minister of Finance and Privatization No.2269-03 dated 27th Chaoual 1424 corresponding to December 22nd, 2003, as amended and supplemented.

Through Africa Development Club, Attijariwafa Bank provides a redesigned online interface, allowing to maintain the presence of Africa Development Club on the web.

The Africa Development Club platform, whose services are described in Article 3 hereof, is available at the address: www.clubafriquedeveloppement.com.

The editorial manager is Mrs. MOUNA KADIRI.

The Africa Development Club platform is hosted by: INWI, located at Lotissement La Colline 2, Sidi Maârouf, Casablanca, Morocco.

The member may benefit from all the services offered by Africa Development Club only subject to the acceptance of his/her membership by Africa Development Club team.

The member declares that he/she has obtained from the Bank all necessary information regarding the services offered and adheres without reservation to these General Conditions of Use.

The Bank reserves the right to amend these General Conditions without prior notice.

ARTICLE 2 – DEFINITIONS

Each term beginning below with a capital letter shall have the meaning given to it in its definition set out in this Article.

“General Conditions of Use” or “General Conditions”: refers to this document.

“Club” or “Africa Development Club”: refers to a service offered by the Bank to a group of Members.

“CAD Platform”: refers to the Service described in Article 3 hereof and available at the address: www.clubafriquedeveloppement.com.

“Bank”: refers to Attijariwafa Bank.

“The Service”: refers to all or any of the services provided by Africa Development Club platform.

“The Visitor”: is a user of the platform (whether a member or not).

“The Member”: is a user who has submitted a membership request to the Club from the site and whose request has been accepted by Africa Development Club team.

ARTICLE 3 – AVAILABLE SERVICES

For the Visitor:

The Africa Development Club platform enables visitors to:

Consult the homepage which outlines the main features of the Club and its positioning;
Access the contact form to be completed in case of a need for communication or a request for information;
Explore the “About” section to learn more about the Club’s vision and activities;
Check the news in order to stay informed about recent events and publications.

For the Member:

The platform provides a set of services designed to promote business opportunities, networking, and access to qualified information.

Networking: The member has access to a directory of Club members; this space enables him/her to identify potential partners and initiate networking requests.
SUFAWE: This section gathers information about support programs for women entrepreneurs, organized thematic sessions. It fosters experience sharing, networking and access to targeted entrepreneurial initiatives.
Events: This section enables the member to consult the agenda of the upcoming events, to access the details of FIAD flagship event, to submit mission requests, to track his/her participation and to consult the proposed multisectoral missions.
Qualified Information: The section contains publications, access to calls for tenders via partner platforms, news relating to the covered sectors of activity and geographical areas.
Profile: is a personal space enabling the member to view and update his/her information at any time.
Notifications: This service enables the member to be informed of any novelty.
Favorites: The member can save some contents, events or information as favorites for future consultation

ARTICLE 4 – NETWORKING BETWEEN MEMBERS

The Africa Development Club platform is intended to facilitate contacts between Club members in order to promote business opportunities and partnerships.

Africa Development Club and Attijariwafa Bank act solely as a networking facilitator between members, without intervening in any capacity whatsoever in the commercial, contractual or pre-contractual relationships between members.

Therefore, the Bank shall not be held liable for:

Negotiations conducted between members;
Agreements or contracts entered into between members, whether formalized or not;
The fulfillment, proper completion or total or partial non-performance of contractual obligations between members;
Any disputes, disagreements or litigations that may arise between members, for any reason whatsoever;
The quality, compliance or legality of products and services offered by members;
The accuracy, reliability or truthfulness of the information provided by members;
Any material or immaterial, direct or indirect damage sustained by a member as part of his/her relationships with another member.

Each member remains alone liable for the commercial relationships he/she enters into with other members of the platform.

It is the responsibility of each member to:

Carry out all necessary checks prior to entering into any commercial relationship;
Assess the risks associated with the contemplated transactions;
Ensure that the commitments undertaken comply with applicable regulations.

ARTICLE 5 – ACCESS TO AFRICA DEVELOPMENT CLUB PLATFORM

5.1 Terms of Access:

The Website is provided on a “state-of-the-art” basis and it is accessible, depending on the availability thereof, 24 hours a day, 7 days a week, except in cases of force majeure, computer difficulties, difficulties linked to telecommunications network or other technical constraints. For maintenance reasons, the Club may suspend access to the Site.

The Club reserves the right to supplement or amend the Services thereof at any time in line with the evolution of technology.

5.2. Access to Africa Development Club Member Area:

5.2.1 Access:

Access to Africa Development Club member area is strictly reserved for individuals holding a valid member status and access rights.

This access is personal, secure and contingent on the use of individual identifiers.

Through this space, the member may consult and update information related to his/her profile.

The member undertakes to verify the accuracy of the data provided and to ensure that it is regularly updated.

Any use of the member space shall be deemed to have been carried out by the member holding the corresponding identifiers.

5.2.2 Modification or Loss:

In the event where he/she loses or forgets his/her password, the member may reset the same directly via Africa Development Club platform.

An email will be sent to the Participant to enable him/her to define a new password and restore access to his/her space.

5.2.3 Refusal:

The Bank reserves the right to suspend or restrict access to Africa Development Club platform for any Participant in case of:

suspected fraudulent use;
attempted unauthorized access;
provision of inaccurate or incomplete information regarding his/her identity;
non-compliance with these General Conditions.

The member will be informed by any appropriate means of such suspension or restriction.

The Bank may also, for technical, maintenance, update or platform upgrade reasons, temporarily suspend access to the service. In such case, a notice will be given beforehand whenever possible.

Access to the platform may be time-limited, particularly as part of specific events organized by Africa Development Club, and shall remain valid until the closing of the relevant event.

5.2.4 Truthfulness of the information:

The member undertakes to provide accurate, complete and up-to-date information regarding his/her identity, company and activities.

The member is alone responsible for the information he/she provides on the platform.

Africa Development Club does not systematically verify all the information provided by members.

The use of the platform requires that the member provides personal data. In this respect, the member undertakes to provide only lawful and fair information and to inform the Club of any changes to such information.

Furthermore, the member undertakes to provide accurate, complete and current information. In the event where the information provided is inaccurate, incomplete or outdated, the Bank shall take any measure it deems appropriate to suspend the member’s access to the Site, either temporarily or permanently.

ARTICLE 6 – OBLIGATIONS OF THE USERS

The user undertakes to use the platform in accordance with its intended purpose and in compliance with applicable laws and regulations.

In particular, he/she shall refrain from:

Using the platform for fraudulent purposes;
Disseminating unlawful, defamatory or public order–violating content;
Infringing upon the rights of other members;
Using the platform for abusive solicitation or spam;
Using the platform for political, activist or ideological purposes unrelated to the activities of Africa Development Club.

ARTICLE 7 – PRE-REGISTRATION FOR FIAD AND APPLICATION TRACKING

Pre-registration for events, particularly FIAD, may be carried out as follows:

For the member:

The member may complete his/her pre-registration via his/her logged-in space by providing the required information and may track the progress of his/her request.

For a non-member visitor:

Pre-registration may be completed without logging in by providing the required information:

Entry of the requested information (including email and country);
Validation through a confirmation code (OTP) sent electronically.

He/she may also track the progress of his/her request through a dedicated space by authenticating with his/her email address and country.

The pre-registration validation remains subject to confirmation by the organizing teams.

ARTICLE 8 – NOTE TO THE VISITOR

The Visitor declares that he/she agrees to the characteristics and limitations of the Internet and, in particular, recognizes that:

He/she is aware of the nature of the Internet network and especially its technical performance and response times for consulting, querying or transferring information data;
The data circulating on the Internet, including confidential data, even with the security measures implemented by the Bank, is not necessarily protected, particularly against possible diversions or fraudulent or unauthorized use;
It is the Visitor’s responsibility to take all appropriate measures to protect his/her own data and/or software from contamination by possible viruses circulating on the Internet.

Moreover, the Visitor declares that he/she agrees that the communication, to third parties, of his/her access codes, where applicable and generally, of any information deemed by the Visitor as personal or confidential, is done at his/her own risk.

The Visitor is deemed to be fully informed of the existence of rules of conduct (legal and ethical) by which he/she must abide when browsing the Internet.

The use of the Service requires that the Visitor provides personal data. In this respect, the Visitor undertakes to provide only lawful and fair information and to inform the Club of any changes to the same.

The Visitor expressly consents to the collection of his/her personal data within this framework.

Moreover, the Visitor undertakes to provide accurate, complete and up-to-date information. In the event where the information provided is inaccurate, incomplete or outdated, the Bank shall take any measure it deems appropriate to suspend the Visitor’s access to the Site, either temporarily or permanently.

ARTICLE 9 – LIABILITY

The Bank undertakes to use its best efforts to ensure the proper functioning of Africa Development Club platform under optimal conditions, the proper provision of the services offered and the confidentiality of the information communicated. Thus, all personal data circulating over telecommunications networks is systematically encrypted.

The Site pages consulted by the Visitor are for informational purposes only. All data shown on the Site is updated with the utmost care by the Bank, which strives to use only reliable sources.

On account of the rapid evolution and complexity of the subjects covered, the Bank provides no guarantee as to the accuracy and completeness of the information presented on the Site. For this reason, the Bank disclaims any liability for any direct or indirect damage arising from access to the information, data and publications available on the Site, their consultation and use.

The applicability of the information displayed on the Site is always case specific. The information does not replace advice or assistance in well determined situations. The Visitor is fully responsible for the choice of the information consulted by him/her and for the consequences of the use thereof.

The Bank shall not be held liable in case of any delay in the information provided to it.

No disruption in the use of the Site shall engage the responsibility of the Bank. The Bank shall not be held liable in the event of temporary or total unavailability of all or any access to the Site, or generally, for any performance failure whatsoever.

The Bank shall not be held liable for any breaches of computer security that may cause damage to the Visitor’s equipment or data.

The Bank shall not be held liable for any breach of these General Conditions by another Visitor.

The Bank reserves the right to take any measures it deems appropriate to prevent or to put an end to any infringement of its copyrights or those of third parties, without incurring any liability on this account.

ARTICLE 10 – INTELLECTUAL PROPERTY

These General Conditions do not entail any transfer in any manner whatsoever of intellectual property rights over the items belonging to the Bank to the benefit of the Visitor.

The Service, the Site, trademarks, designs, models, images, texts, photographs, logos, graphic charters, software, search engines, databases and domain names, without this list being exhaustive, are the exclusive property of the Bank or of its partners, subcontractors, and/or authors.

Any total or partial reproduction and/or representation of one of these rights, without the express authorization of the Bank, is prohibited and would constitute an infringement that may give rise to civil and criminal liability for the infringer.

Therefore, the Visitor shall refrain from any act or action that may directly or indirectly infringe the intellectual property rights of the Bank.

The Bank grants the Visitor a private, non-collective and non-exclusive right to use the content of the Service and the Site. This right of use includes the right to reproduce content for storage for the purpose of display on a single-user screen and for reproduction in printed form. Any networking, redistribution, in any form whatsoever, even partial, is therefore prohibited. This right is personal and reserved for the exclusive use by the Visitor. It cannot be transferred in any manner whatsoever. The Visitor may use the information made available through the Service for the development of his/her network and activity.

Therefore, the Visitor undertakes to:

download onto the computer thereof the content of the Site only for personal use and for a limited period of time;
print on paper the downloaded Site pages only on the condition that the aforesaid copies are strictly limited to personal use.

ARTICLE 11 – HYPERTEXT LINKS

The hypertext links set up within the framework of the Site that are directed at other resources present on the Internet network with restricted access, and in particular to partners, have been subject to prior and express authorization from the publishers of those sites.

The hypertext links established towards other sites shall not engage the liability of the Bank, in particular with regard to the content of those sites.

Therefore, the existence of a link from the Club’s B-to-B platform to another site shall not constitute a recommendation or an endorsement of that site or the content thereof. It is the responsibility of visitors to use such information with discernment and a critical mind.

ARTICLE 12 – PERSONAL DATA

The use of the Service requires the collection of personal data from Members. Indeed, this collection allows for the management of memberships, access to all services offered by the Club, networking between Members, subscription to newsletters or response to questions posed.

Such data is collected, processed and stored by the Bank in accordance with the provisions of the Act No.09-08 of February 18th, 2009 relating to the protection of individuals with regard to the processing of personal data, and Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27th, 2016 (GDPR).

The collected data is intended solely for the use by Attijariwafa Bank and the companies within its group, as well as its duly authorized service providers.

Only persons acting under its authority and instructions may access such data, including subcontractors (especially hosting providers) acting in the performance of their tasks.

Any subcontractor who, on this occasion, becomes aware of this personal data shall be subject to a confidentiality obligation. In particular, he must refrain from using such personal data for his own purposes or disclosing all or any of the same to third parties.

None of the personal data collected from the Site shall be communicated or transferred to third parties for commercial purposes. However, the collected data may be transmitted to other companies of Attijariwafa Bank Group.

Such data is stored only for a period of one year strictly linked to the purpose of the processing.

The user has the right of access, rectification, portability, restriction of the processing of his/her personal data, as well as the right to object—unless data is collected pursuant to a legal obligation—to the processing of the personal data thereof. He/she has also the right to lodge a complaint with the relevant competent authority.

ARTICLE 13 – PROTECTION OF DATA AND DIRECTORY

The databases, the member directory and all information accessible through the platform are protected by the provisions relating to intellectual property.

Any total or partial extraction, reproduction or substantial reuse of the data available on the platform is strictly prohibited.

The use of robots, automated scripts or any other process intended to collect data displayed on the platform is expressly prohibited.

ARTICLE 14 – CONFIDENTIALITY

The information exchanged between members as part of the use of the platform must be deemed confidential, unless otherwise agreed between the concerned parties.

Each member undertakes not to disclose or use, for unauthorized purposes, any information obtained as part of exchanges carried out through the platform.

ARTICLE 15 – PLATFORM SECURITY

The user undertakes not to attempt to fraudulently access the computer systems of the platform or the data of other users.

Any attempt at intrusion, alteration or hindrance of the platform’s functioning may result in the suspension or deletion of the account of the concerned user, without prejudice to any possible proceedings.

ARTICLE 16 – COOKIES

While browsing the platform, cookies may be deposited on the user’s terminal in order to improve the browsing experience, measure the Site's audience and provide tailored content.

The user may configure his/her browser to refuse the installation of cookies.

ARTICLE 17 – SUSPENSION OR DELETION OF THE ACCOUNT

Africa Development Club reserves the right to suspend or delete a user’s access to the platform in the event of:

Non-compliance with these General Conditions of Use;
Fraudulent or abusive use of the platform;
Damage to the image or proper functioning of Africa Development Club.

ARTICLE 18 – EVOLUTION OF THE SERVICES

Africa Development Club reserves the right to modify, suspend or upgrade, at any time, the functionalities of the platform, without this giving rise to any right to compensation for users.

ARTICLE 19 – RECOMMENDATION

To protect the confidentiality of his/her requests, the Member is invited to take appropriate measures, depending on his/her own software and hardware, either to prevent the storage of data consulted on his/her microcomputer, or to delete such data once the consultation has ended.

If he/she imports data into management software, the Member shall ensure that access to such data by unauthorized third parties is prohibited.

In this respect, the Member assumes alone the risks associated with the handling and use of the connection terminal thereof by unauthorized third parties.

On the other hand, the Member is responsible for taking all appropriate measures to protect data and/or software stored or loaded on the computer equipment thereof from virus contamination or attempted intrusions.

ARTICLE 20 – FORCE MAJEURE

The Bank shall not be held liable for the non-performance of any of the obligations thereof under these Conditions, in particular in the following cases:

Where the non-performance is due to an impediment beyond its control;
Where it could not reasonably have foreseen such impediment, its effects or its ability to implement the contract at the time of its conclusion;
Where it could not reasonably have avoided or overcome such impediment, or at least its effects.

An impediment within the meaning of the previous paragraph may result, in particular, from events such as the destruction of machinery or facilities, boycotts, strikes or lock-outs in any form whatsoever, occupation of premises, work stoppages, failure of electrical power supply, failure of networks or transmission lines, system unavailability, without this list being exhaustive.

ARTICLE 21 – CANCELLATION & TERMINATION

In the event of a breach of the obligations herein, the Bank may, in full right, terminate or cancel these General Conditions of Use of the Service for the Member. Similarly, the Member may request the termination of his/her membership to the Club, by sending an email to the Site address, confirmed by a registered letter with acknowledgment of receipt sent to the Bank, addressed to Africa Development Club team at 2 Boulevard Moulay Youssef. It is specified that, in the event of termination, the amount of the annual membership fee shall remain acquired to the Bank.

ARTICLE 22 – GOOD FAITH

The Parties agree to fulfill their obligations in absolute good faith.

ARTICLE 23 – HEADINGS

In the event of any interpretation difficulties arising from a discrepancy between any headings appearing at the top of clauses and any of the clauses themselves, the headings shall be deemed non-existent.

ARTICLE 24 – INVALIDITY

If one or more provisions of these General Conditions are held to be invalid or declared as such pursuant to a law, regulation or a final decision of a competent court, the remaining provisions shall remain in full force and effect.

ARTICLE 25 – EVIDENCE AGREEMENT

The acceptance of the General Conditions by electronic means shall have, between the Parties, the same evidential value as an agreement in paper form.

Computerized records stored in information systems shall be kept under reasonable security conditions and shall be considered proof of communications between the Parties.

The archiving of contractual documents is carried out on a reliable and durable medium that may be produced as evidence.

ARTICLE 26 – APPLICABLE LAW & JURISDICTION

This contract is governed by the Moroccan law. Any dispute relating to the interpretation or implementation of these conditions shall be submitted to the exclusive jurisdiction of Casablanca Commercial Court.
